STANDARD TERMS AND CONDITIONS OF SALE

1. Definitions

In these Terms and Conditions:

a. "Seller" refers to ManjaBIZ, its subsidiaries, and authorised representatives.

b. "Buyer" refers to the person, firm, or company purchasing goods or services from the Seller.

c. "Goods" means the products or services supplied by the Seller.

d. "Contract" refers to any agreement between the Seller and the Buyer for the sale of Goods.

2. Application of Terms

2.1 These Terms and Conditions apply to all sales by the Seller to the Buyer and supersede any terms proposed by the Buyer unless expressly agreed in writing.

2.2 Placement of an order by the Buyer constitutes acceptance of these Terms.

3. Orders and Acceptance

3.1 All orders must be submitted in writing, online, or via other agreed methods.

3.2 The Seller reserves the right to accept or reject any order without obligation to provide a reason.

3.3 No order is binding until confirmed in writing by the Seller.

4. Price and Payment

4.1 Prices are quoted in Malaysian Ringgit (MYR) unless otherwise stated and are subject to change without prior notice.

4.2 Unless otherwise agreed, payment terms are [e.g., full payment upon order ].

4.3 Late payments may incur interest at [e.g., 1.5% per month] until settlement.

4.4 All bank charges, transfer fees, or currency conversion fees are borne by the Buyer.

5. Delivery

5.1 Delivery dates are estimates only and are not guaranteed.

5.2 The Seller is not liable for delays caused by events beyond its control (e.g., natural disasters, strikes, pandemics).

5.3 Risk in the Goods passes to the Buyer upon delivery. Title passes only when full payment is received.

6. Inspection and Acceptance of Goods

6.1 The Buyer must inspect Goods upon receipt and notify the Seller in writing of any shortages, defects, or damage within [e.g., 3 working days].

6.2 Failure to notify within this period constitutes acceptance of the Goods.

7. Warranty  (Health Products, Food & Scarves)

7.1 The Seller warrants that all products supplied are genuine, sourced from approved suppliers, and will substantially conform to the description and specifications provided at the time of sale.

7.2 Health Products & Food

  • The Seller ensures that all consumable products are delivered in good condition, unexpired, and properly sealed at the time of delivery.
  • As these are consumable goods, no performance guarantee or results warranty is provided, as outcomes may vary depending on individual health conditions, dietary habits, and adherence to usage instructions.

7.3 Scarves & Fashion Items

  • The Seller warrants that scarves and fashion items will be free from manufacturing defects upon delivery.
  • This warranty does not cover damage due to wear and tear, improper washing, exposure to harsh chemicals, or misuse.

7.4 The warranty excludes:

  • Any adverse effects arising from misuse, overconsumption, failure to follow instructions, or improper storage (e.g., heat, moisture, direct sunlight).
  • Products damaged after delivery due to handling by the Buyer.
  • Claims made after the product’s expiry date (for consumables) or after the product seal has been broken (for sealed goods).

8. Returns and Refunds

8.1 Returns are subject to prior written approval from the Seller.

8.2 Returned Goods must be in original condition and packaging, accompanied by proof of purchase.

8.3 Refunds, if approved, will be processed within [e.g., 14 working days] and may be subject to restocking fees.

9. Limitation of Liability

9.1 The Seller’s total liability under any Contract is limited to the price paid for the Goods.

9.2 The Seller is not liable for indirect, incidental, or consequential losses.

10. Force Majeure

The Seller is not liable for failure to perform due to causes beyond its reasonable control, including but not limited to natural disasters, government restrictions, or supply chain disruptions.

11. Governing Law

These Terms are governed by and construed in accordance with the laws of Malaysia. Any disputes shall be subject to the exclusive jurisdiction of the courts of Malaysia.

12. General

12.1 No variation of these Terms is binding unless agreed in writing.

12.2 If any provision of these Terms is found invalid, the remaining provisions remain in full force.
